Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, web applications, booking systems, marketing tools, automation services, and APIs provided by ShuiLink ("ShuiLink", "we", "us", or "our"), including the websites at shuilink.com, ads.shuilink.com, voice.shuilink.com, hibachi.shuilink.com, book.shuilink.com, api.shuilink.com, and any other domain operated by ShuiLink (collectively, the "Services"). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and account

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. By using the Services you represent that you meet this requirement and that all information you provide is accurate. Some features (for example, the operator-only Google Ads automation dashboard) require a ShuiLink-issued account; you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. Description of the Services

ShuiLink builds and operates marketing and operations infrastructure for small local-service businesses. Depending on which part of the Services you use, this may include:

• Marketing websites for ShuiLink and for the brands we own or operate
• Booking systems, deposit flows, and lead-capture forms hosted at book.shuilink.com and on partner sites
• Internal automation tooling that interacts with the Google Ads API on behalf of business clients whose Google Ads accounts ShuiLink has been authorized to manage
• Reporting, analytics, and AI-assisted optimization workflows used by the ShuiLink team
• Public APIs (api.shuilink.com) used by partner sites to submit leads and bookings

We may add, modify, or discontinue features of the Services at any time without notice.

3. User content and submissions

"User Content" means any information, text, or other material you submit to the Services, including form submissions, comments, files, and messages. You retain ownership of your User Content. By submitting User Content you grant ShuiLink a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process the User Content as needed to operate the Services, respond to your request, and improve the Services. You represent that your User Content does not infringe any third-party rights and complies with applicable law.

4. Bookings and quote requests

When you submit a booking request, deposit, or quote request through any ShuiLink-operated site or booking system, you are entering into a relationship with the operating business identified on that site (which may be ShuiLink itself or a ShuiLink-managed business). Final pricing, scheduling, and service delivery are governed by the operating business's own booking confirmation, invoice, and any separately signed agreement. Promotional offers and discount codes are subject to the terms displayed at the time the booking is placed and may be discontinued at any time.

5. Managed-client engagements

If you are an owner or authorized representative of a small business whose Google Ads account ShuiLink manages, the operational scope, deliverables, fees, and termination terms of that engagement are governed by a separate written agreement between you and ShuiLink. These Terms apply to your use of the Services themselves but do not by themselves create a campaign-management relationship.

6. Intellectual property

The Services, including all software, source code, design, text, graphics, logos, video, and other content (other than User Content), are owned by ShuiLink or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of any part of the Services without our prior written consent, except as permitted by applicable law.

7. Prohibited conduct

When using the Services you agree not to:

• Violate any applicable law or regulation
• Infringe the intellectual-property, privacy, or other rights of any third party
• Submit false, misleading, or fraudulent information (including fake lead submissions)
• Interfere with or disrupt the integrity or performance of the Services, including by scraping, denial-of-service attacks, or attempts to access unauthorized portions of the Services
• Use the Services to send spam, unsolicited marketing, malware, or other harmful content
• Use any automated means (bots, crawlers, scripts) to access the Services in a way that exceeds reasonable human use, except as permitted by a documented public API
• Probe, scan, or test the vulnerability of the Services without prior written authorization

8. Third-party services and links

The Services may contain links to, or integrate with, third-party websites and services (including Google, Microsoft, Vercel, Resend, MongoDB, and Anthropic). ShuiLink does not control these third-party services and is not responsible for their content, privacy practices, or availability. Your use of any third-party service is at your own risk and subject to that service's own terms.

9. Disclaimer of warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. SHUILINK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ADVERTISING CAMPAIGN MANAGED THROUGH OUR TOOLS WILL ACHIEVE ANY PARTICULAR OUTCOME.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHUILINK AND ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SHUILINK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShuiLink and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason including a breach of these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination (including the disclaimer of warranties, limitation of liability, indemnification, and governing law) will survive.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts. You and ShuiLink agree to waive any right to a jury trial. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be highlighted on the home page or sent to you by email if we have your address on file. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.
